1. Acceptance of Terms & Platform Role
1.1. The Agreement: By accessing, browsing, registering on, or using the website https://propvendor.ng (the “Site” or “Platform”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any additional guidelines posted on the Platform. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
1.2. Platform Role as Marketplace Facilitator:
- PropVendor is an online listing discovery and marketplace technology platform. PropVendor connects prospective property buyers, tenants, vehicle buyers, and clients with independent third-party property owners, real estate developers, licensed agents, and vehicle vendors (collectively, “Vendors”).
- Unless explicitly designated as an “Owner-Direct Verified” listing owned by PropVendor, PropVendor does NOT own, manage, inspect, guarantee, broker, sell, or lease the properties, land parcels, or vehicles advertised on the Site.
- PropVendor is not an auctioneer, licensed estate surveyor, legal conveyancer, or property insurer. Any agreement, transaction, lease, or sale resulting from an introduction on this Platform is made exclusively and directly between the Inquirer and the Vendor at their sole risk.
2. Eligibility & Account Registration
2.1. Age Requirement: You must be at least eighteen (18) years of age and possess full legal capacity to enter into binding contracts under Nigerian law to register an account or submit enquiries on the Platform.
2.2. Account Security: Users are responsible for maintaining the confidentiality of their account credentials, passwords, and access tokens. You agree to notify PropVendor immediately of any unauthorized use or security compromise of your account.
2.3. Accuracy of Registration Data: Vendors warrant that all information provided during registration (including legal name, business name, CAC registration number, email, and phone number) is accurate, current, and verifiable.
3. Vendor Rules, Listings & Title Document Declarations
3.1. Listing Authority: Vendors expressly warrant that they own the property, land, or vehicle advertised, or hold valid, written, and legally binding power of attorney, agency mandate, or instruction from the lawful owner to market the asset.
3.2. Title Documentation Accuracy: When creating property or land listings, Vendors must accurately specify the title documentation governing the property (including, where applicable: Certificate of Occupancy (C of O), Governor’s Consent, Deed of Assignment, Gazette, Excision, Survey Plan, or Court Judgment). Falsely claiming or misrepresenting title status constitutes a material breach of these Terms and grounds for immediate account termination.
3.3. Prohibited Listing Content: Vendors shall NOT publish listings subject to pending litigation or dispute without prominent disclosure; duplicate listings across categories; stock or misleading photographs; or defamatory, fraudulent, or unlawful content.
3.4. Listing Quotas: Vendors are subject to listing quotas based on their active subscription tier (Free Basic: 3 active listings; VIP Agent: unlimited active listings). Attempting to bypass quotas through multiple account creation is strictly prohibited.
4. Inquiries, Contact Unlocking & Vendor Wallet
4.1. Inquirer Privacy & Contact Shielding: Consumer contact details (telephone numbers and email addresses) submitted via enquiry forms are masked by default. Vendors communicate with inquirers through the on-platform messaging thread.
4.2. Pay-to-Unlock & Credit System: Vendors may reveal an inquirer’s direct contact details by spending platform credits or maintaining an active VIP Agent subscription. Credits can be purchased via the Vendor Wallet in designated packages.
4.3. Non-Refundable Policy: Credits and subscription fees represent platform service entitlements and are strictly non-refundable once purchased, except where required by Nigerian consumer protection laws or in cases of verified payment processing errors. Credits have no cash redemption value and cannot be transferred between accounts.
4.4. Payment Processing: Online credit purchases and VIP subscriptions are processed through Paystack Payments Limited. Users agree to comply with Paystack’s terms of service during checkout. PropVendor does not store credit card or bank credentials.
5. Buyer & Inquirer Safety Guidance
5.1. Mandatory Due Diligence: Prospective buyers and renters acknowledge that property and vehicle transactions involve substantial financial and legal risk. You agree to:
- Physically inspect properties or vehicles in person, in broad daylight, before paying any deposit, inspection fee, or transaction funds.
- Conduct formal title searches at the relevant State Land Registry (such as Lagos State Lands Bureau, Alausa, Ikeja; Abuja Geographic Information Systems – AGIS) or Corporate Affairs Commission (CAC) through a qualified Nigerian legal practitioner.
- Verify vehicle chassis numbers, engine numbers, and customs duty clearance papers with the Nigeria Customs Service (NCS) and Federal Road Safety Corps (FRSC).
5.2. No Cash Wiring Warning: NEVER transfer money, inspection fees, legal fees, or deposits to any vendor, agent, or third party without executing a formal, written contract and verifying physical asset possession. PropVendor will NEVER contact you by phone, WhatsApp, or email demanding payment into a private bank account on behalf of a vendor.
6. Content Moderation, Reporting & Suspension
6.1. Right to Review & Remove: PropVendor reserves the absolute right to monitor, review, reject, unpublish, or delete any listing, message, review, or vendor account that violates these Terms or our community standards.
6.2. Reporting Mechanism: Users can report suspicious listings, fraudulent vendors, or incorrect pricing directly to compliance@propvendor.ng.
6.3. Account Suspension: We may suspend or terminate vendor access immediately for verified reports of fraud, uploading counterfeit title documents, harassment, or chargeback disputes.
7. Intellectual Property
7.1. Platform Content: All software code, visual design, logos, trademarks, database schema, and interface elements on the Site are the exclusive intellectual property of PropVendor Technologies Ltd.
7.2. Vendor Content License: By submitting listings, photos, and descriptions to the Site, Vendors grant PropVendor a perpetual, non-exclusive, royalty-free, worldwide license to use, display, reproduce, and adapt the content for marketplace indexing, advertising, and promotional campaigns.
8. Limitation of Liability & Disclaimers
8.1. “As-Is” Service: The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind.
8.2. Exclusion of Damages: To the maximum extent permitted under applicable Nigerian law, PropVendor Technologies Ltd., its directors, employees, and agents shall NOT be liable for damages resulting from transactions between buyers and vendors; title defects, land disputes, or demolition; or technical downtime.
8.3. Liability Cap: In all events, PropVendor’s maximum aggregate liability shall be limited to the total amount paid by that user to PropVendor in the preceding three (3) months, or ₦20,000 (Twenty Thousand Naira), whichever is less.
9. Dispute Resolution & Governing Law
9.1. Governing Law: These Terms shall be governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria.
9.2. Amicable Settlement: Parties shall first attempt to resolve disputes in good faith through amicable negotiation for not less than thirty (30) days from written notice.
9.3. Court Jurisdiction: Any unresolved dispute shall be subject to the exclusive jurisdiction of the competent High Court of Lagos State, Nigeria.
10. Modifications to Terms
PropVendor reserves the right to amend or replace these Terms at any time with updated effective dates. Continued use of the Site after notice constitutes acceptance of the amended Terms.
